Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the LiorLink platform ("Platform"), operated by EIC Corporation / iCapital Ventures ("Operator").

By accessing the Platform or creating an account, you acknowledge that you have read, understood and accepted these Terms in their entirety. If you do not accept these terms, you must not use the Platform.

2. Service Description

LiorLink is a business intelligence and financial structuring platform that provides:

• Comprehensive Due Diligence: Financial, legal, tax and governance assessment of companies.
• Capital Access: Connection to the iCV fund for OPEX and CAPEX financing.
• Business Intelligence: Market analysis, commercial maturity assessment, strategic scoring.
• Partner Ecosystem: G25 network of institutional partners (NED — Non-Executive Directors).
• Certification: Award of the iCV governance label to qualifying companies.

3. Access & Registration

Eligibility

To use LiorLink, you must:

• Be an adult individual (18 years or older) or a legally constituted entity
• Have a valid email address
• Provide accurate, current and complete information at registration
• Maintain the confidentiality of your login credentials

Identity Verification

The Operator reserves the right to request identity or compliance documents (KYB) at any time. Refusal to provide these may result in account suspension or closure.

Account Security

You are responsible for all activities carried out under your account. Notify the Operator immediately of any unauthorised use at contact@eic-corporation.org.

4. Roles & Permissions

The Platform distinguishes several user types, each with specific rights and responsibilities:

Enterprise User

• Submits company data for assessment and due diligence
• Accesses only their own data and results
• Cannot modify results established by administration
• May approve or refuse access to their data for third-party NEDs

NED (Non-Executive Director / G25 Partner)

• Has read-only access to the results of the company they are linked to
• Must obtain company verification before any access (email verification flow)
• Cannot submit, modify or approve company data

Administrator

• Manages accounts, assessments, and assignment of roles and certifications
• Accesses all platform data within the scope of their duties
• May manually assign a NED to a company (bypassing email verification)

5. Acceptable Use

By using LiorLink, you agree to:

• Use the Platform in accordance with all applicable laws and regulations
• Provide truthful information and not falsify documents
• Not attempt to access data that does not belong to you
• Not reverse-engineer, decompile or unauthorisedly modify the Platform
• Not use the Platform for money laundering, fraud or unlawful activities
• Not overload, disrupt or compromise the security of the Platform

6. Content & Data Submitted

By submitting data, documents or information on the Platform, you:

• Declare that you are the legal owner or have authorisation to share it
• Grant the Operator a limited, non-exclusive licence to process this data in order to provide the service
• Remain the owner of your data — the Operator claims no ownership rights over your information

The Operator reserves the right to refuse or remove any content that violates these Terms or applicable law.

7. Intellectual Property

All elements of the Platform (code, design, trademarks, logos, generated reports, scoring algorithms) are the exclusive property of EIC Corporation / iCapital Ventures, protected by intellectual property law.

Nothing in these Terms grants you any rights over these elements, except with the express written authorisation of the Operator.

8. Limitation of Liability

The Platform is provided "as-is". To the extent permitted by law:

• The Operator does not guarantee the absolute accuracy of assessment results — these are indicative and based on the data submitted.
• The Operator is not responsible for investment decisions made on the basis of Platform information.
• The Operator is not liable for indirect losses, data loss or loss of profits resulting from use or inability to use the service.
• The Operator's total liability is limited to amounts paid for the service in the preceding 12 months.

9. Privacy & Data Protection

The collection and processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

10. Suspension & Termination

By the User

You may close your account at any time by contacting contact@eic-corporation.org. Account closure does not entitle you to a refund of any fees already paid.

By the Operator

The Operator may suspend or close your account without notice in cases of:

• Violation of these Terms
• Provision of false or fraudulent information
• Suspected fraud or money laundering activity
• Non-payment of invoiced services
• Request by a legal or regulatory authority

11. Modifications to the Service & Terms

The Operator reserves the right to modify, suspend or discontinue all or part of the service at any time, with reasonable notice except in emergencies.

These Terms may be updated. The version in force is the one published on this page. In the event of a significant change, you will be notified by email at least 15 days before it takes effect. Continued use of the service constitutes acceptance of the new terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws in force in the country of residence of the Operator. In the event of a dispute, the parties will endeavour to find an amicable solution within 30 days. Failing that, any dispute shall be submitted to the competent courts.
